Effective February 28, 2006, the Company signed an agreement to become the exclusive licensor in the United States for the proprietary biodiesel production technology of Biodiesel Brazil. On June 12, 2006, the Company issued 537,500 shares of common stock to Biodiesel Venture, L.P. and 537,500 shares of common stock to Willie H.
