In the event that the Company is unable to raise additional operating capital, these conditions raise substantial doubt about the Company's ability to continue as a going concern.

Intellectual Property:
The Company has received federal trademark registration for "The Right Solution®." Marshall intends to continue to seek trademark protection for a number of the products and brand names under which its products are marketed. The Company relies upon common law concepts of confidentiality and trade secret laws to protect its product formulations. Marshall's product formulations are not protected by patents and are generally not patentable.
