Intellectual Property:
General Motors Corp. has granted the Company an exclusive license to use the “Delco Remy” trademark on and in connection with automotive starters and heavy-duty starters and alternators until July 31, 2004, extendable indefinitely upon payment of a fixed $0.1 million annual licensing fee. It has also been granted a perpetual, royalty-free license to use the “Remy” trademark. The “Delco Remy” and “Remy” trademarks are registered in the United States, Canada and Mexico and in most major markets worldwide. As part of the acquisition of Delphi Corporation’s light duty alternator business, the Company and Delphi Technologies, Inc., entered into a license agreement by which it licensed from Delphi Technologies certain patents and technical information used in the manufacture and remanufacture of belt-driven automotive generators and alternators. In 2004, the Company signed an exclusive technology license with Visteon, applicable to high efficiency/power density alternators that are extremely quiet. [SEC Filing 10-K 03-31-06]
