Event:
We face significant liquidity pressure and may be unable to maintain adequate liquidity in the near term. At June 30, 2007, our cash was $178,959. We have incurred cumulative net losses after preferred dividends in the amount of $30,509,404 from our inception through June 30, 2007. These losses are not sustainable and are becoming increasingly difficult to fund. Cross, Fernandez & Riley, LLP, our independent registered public accounting firm, issued a Report of Independent Public Accounting Firm related to our Financial Statements in this Form 10-KSB that contains an explanatory paragraph that makes reference to uncertainty about our ability to continue as a going concern. Future reports may continue to contain this explanatory paragraph.

The Company has filed four patent applications with the United States Patent and Trademark Office for its Wireless Medical Monitoring Apparatus and System; Wireless Monitor for Sleep Apnea; Elderly Patient Wireless Monitoring System; and Wireless Apparatus for Monitoring Respiration. The Company holds three patents issued in South Africa, Singapore and Australia for its technology. It also has eight patent applications in foreign countries to protect its technology.
