Gruber & Company LLC raised doubts on the ability of Girasolar, Inc. to continue as a going concern after auditing its financial statements. The Company incurred a net loss for the year ended December 31, 2006 of $2,204,888 and at December 31, 2006, had an accumulated deficit of $3,673,195 and a working capital deficit of $2,020,078.

Intellectual Property:
The Company has filed two patent applications for products in which the Company has a significant interest. The patents pertain to a more efficient module mounting (the ClickFit mounting system) and a new process for silicon production through electro-refining. The Company intends to have several United States and foreign trademark registrations associated with its business, including GiraSolar, DutchSolar and the GiraSolar group logo. The Company believes that several elements of its solar power products and manufacturing processes involve proprietary know-how, technology or data, which are not covered by patents or patent applications, including selected materials, technical processes, equipment designs, algorithms and procedures. The Company has taken security measures to protect proprietary know-how, technologies and confidential data, and it continues to explore additional methods of protection.
